THIS AGREEMENT, made and entered into on the %MFS_ORDER_DATE% serves as a legally binding contract between FASOL PROD / M.Fasol ("Licensor") and %MFS_CLIENT_NAME% ("Licensee"). This agreement grants the Licensee non-exclusive rights to the instrumental named "%MFS_BEAT_NAME%" ("Instrumental").

GENERAL TERMS AND CONDITIONS

- By accepting the terms and conditions, the Customer (also referred to as «Licensee») declares that he or she is fully aware of all terms and conditions and agrees to and accepts them. Purchasing a «PREMIUM EXTENDED LEASE» license grants the Licensee limited artistic and legislative rights to the corresponding beat(s) for one commercial or non-commercial use on digital platforms such as Bandcamp which don’t use any audio fingerprinting technology with a circulation of 25.000 sale units. A «PREMIUM EXTENDED LEASE» license includes one untagged mixed / mastered WAV file of the beat. With a leasing license, the Licensee is also allowed to get profitable / non-profitable webradio / webtv airplays, audio / video streams (3.000.000 paid / free streams max) or to perform the song on commercial / profitable shows (500 paid performances max). If 25.000 sale units / 3.000.000 streams / 500 live performances are reached and further sales / streams / live performances are desired, beat must be licensed again. Licensee can not use any beat compositions as main or background element in any projects released by any record labels / companies, in TV, film & DVD / computer game projects. Leasing a beat does not make the Licensee the sole owner of the beat, licensee agrees that the licensor maintains copyrights and ownership of the original instrumental composition / production. This non-exclusive royalty free license is appropriate for independent / self-produced projects only. Licensee cannot sell, loan, rent, lease, assign or transfer all or any of the products sold or corresponding rights, to another person. Licensee may edit / alter the length of the beat as they see fit but he / she can’t distort / change the nature of the original beat. The licensor’s Instrumentals doesn’t contain any copyrighted samples. The clearing of any sampled material is the responsibility of the Licensee. Licensee agrees to display the Licensor’s name (M.Fasol) in all digital media. The Licensor is not responsible for the technical issues related to the Licensee’s computer and internet connection quality. Leasing rights are subject to registrations in general terms and conditions, master recording, profitable distribution, earnings, ownership, credit, payment, delivery agreements. After the delivery of the beat the Licensor will be unbound of any further responsibilities to the Licensee and legally free of further duties. Abuse or failure to adhere to listed terms and conditions will be punishable by law.

1. Master Recording

- The Licensee has the obligation to add audio lyrics / spoken voice to the instrumental music and can not use the music instrumental without it. The Licensee understands that his non-exclusive usage of the Instrumental is limited to one new composition and if the Licensee wishes to use the Instrumental in other new compositions, then the Licensee must obtain another license to use of the Instrumental from the Licensor. The licensee is only authorized to use the MP3 / WAV file received in his / her mailbox.

2. Profitable / Non-Profitable Distribution

- The Licensee is limited to distributing one (1) version of the Master Recording for profitable or non-profitable use. The Licensee is limited to a distribution of twenty five thousand (25.000) copies of the Master Recording, which can be distributed on digital platforms such as Bandcamp that don’t use any audio fingerprinting technology. The licensee is not authorized to use the services of any digital distributor such as Tunecore, CDbaby, Distrokid etc to distribute the master recording on any digital streaming platforms such as Spotify, Apple Music, Amazon Music etc .The Licensee has the right to use the master recording for a video clip to webtv or music / video sharing websites but not in any record label / company project, movies, TV (other than music video clips) or video games (The Licensee can not use the instrumental for synchronization). A maximum of three million (3.000.000) (paid / free) streams across all platforms is allowed with five (5) year from date leased beat was purchased to distribute until having to renew lease agreement. . The territory in which the Master recording, may be commercially or non-commercially distributed is «worldwide» which extends throughout the entire world. This also includes but is not limited to all World Wide Web territories.

3. Earnings

- After his purchase, the Licensee will NOT have to pay any recording royalties to the Licensor. The licensee is allowed to earn several incomes generated from the commercial release of the Master recording. However, this excludes royalties collected by Performance Rights Organizations from anywhere in the world, also known as «copyright collection societies». So the licensee is not allowed to register any project that includes the beat(s) with these P-R-O, the licensee can not collect the publishing rights generated by these projects. The licensee is only authorized to monetize the video (who includes this instrumental) on his / her own Youtube channel, but he / she is not permitted to activate any other social video monetization service.

4. Ownership

- The Licensor maintains 100% full rights (copyright and ownership) of the instrumental, and can continue to sell it non-exclusively. The Licensee has neither the right nor authority to sell or license the rights to the Instrumental whether in whole or part to any other party. The Licensee has not the right to sign a publishing deal or any other contract with a recording label / music publisher etc. The licensee can’t reproduce / copy this beat using the service of a musical band / music producer. Because audio fingerprinting technology on sites such as Youtube and Soundcloud is currently limited in its capabilities to detect the uniqueness of each Master recording, it is possible that the Master recording will match the content of other older non-exclusive license holders. In the event that the Master recording matches 3rd party content, the Licensee can include a copy of this agreement and his / her order receipt along with his / her dispute in order to resolve the claim in a timely manner. The licensor doesn’t provide any exclusive rights and separate tracks (trackouts / stems) for any of his instrumentals.

5. Credit

- The Licensee must give production credit to the Licensor for any and all distributed material. This can be done verbally (through recorded vocals on the master recording) or written in the captions / description boxes. Proper credit can be formatted similarly to the following : «Prod by M.Fasol» «Beat by M.Fasol» or «Music produced by M.Fasol».

6. Payment

- Payments are being done through Paypal or Stripe (Credit / debit card). All payments must be made and cleared before delivery of product. All payments / Digital sales are non-refundable.

7. Delivery

- Products are e-mailed to the Licensee as a download link within 24 hours upon the clearing of payment. Product files will not be physically mailed to customer via DVD or CD.

By receiving this contract via email, the Licensee automatically agrees to the terms stated above and gains non-exclusive rights to the Instrumental.
